Apex is a medical support services company providing HIPAA-aware back-office and virtual assistant services to healthcare providers, including but not limited to virtual receptionist support, appointment scheduling, medical billing support, insurance verification, prior authorization, patient intake, and revenue cycle management. We are not a healthcare provider and do not provide medical advice, diagnosis, or treatment.

All service engagements are subject to a separate written Service Agreement (or Statement of Work) that specifies scope, deliverables, staffing, pricing, payment terms, and any client-specific requirements. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement controls.
Where our services involve access to Protected Health Information (PHI), we will execute a HIPAA Business Associate Agreement (BAA) with the covered entity client before providing services. Our handling of PHI is governed by the applicable BAA and by HIPAA Privacy and Security Rules.
Service fees, billing cadence, and payment terms are set forth in the applicable Service Agreement. Unless otherwise specified: (a) invoices are due within 15 days of issuance; (b) late payments may accrue interest at 1.5% per month (or the maximum permitted by law); and (c) Apex may suspend services for accounts materially past due, after reasonable notice.
Unless otherwise stated in a Service Agreement, either party may cancel services with 30 days' written notice. Apex may terminate immediately if a client materially breaches the Service Agreement (including failure to pay), engages in unlawful activity, or if continued service would expose Apex to material legal or regulatory risk. All fees earned through the termination date remain payable.
You agree not to: (a) use the site for any unlawful purpose; (b) attempt to gain unauthorized access to our systems; (c) transmit malware or malicious code; (d) scrape, harvest, or misuse content; or (e) use the site in a way that interferes with its normal operation or with other users.
All content on this website — including text, graphics, logos, layout, and code — is the property of Apex Health Solutions LLC or its licensors and is protected by U.S. and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent, except for personal, non-commercial use.

To the fullest extent permitted by applicable law, Apex Health Solutions LLC, its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or related to your use of the website or our services. Our aggregate liability for any claim arising out of or related to the services shall not exceed the fees paid by the client to Apex under the applicable Service Agreement during the three (3) months immediately preceding the event giving rise to the claim, unless otherwise agreed in writing.
You agree to indemnify and hold harmless Apex Health Solutions LLC and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or connected with: (a) your use of the website; (b) your violation of these Terms or applicable law; or (c) content or information you submit to us.
Both parties agree to maintain the confidentiality of any non-public business, technical, or client information disclosed during the engagement. Confidentiality obligations for PHI are governed by the applicable BAA and HIPAA.
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. The parties will first attempt to resolve any dispute in good faith. If unresolved, disputes shall be submitted to binding arbitration in Riverside County, California, or resolved in state or federal courts located in Riverside County, California, as applicable.
We may update these Terms from time to time. The most current version will always be posted on this page with a revised "Last updated" date. Continued use of the website or our services after changes constitutes acceptance of the revised Terms.
